BOS Global has announced changes to the board with the appointment of Will Giles as a non-executive director and the resignation of Mark Uren.
The company thanked Uren for his significant contributions and guidance since completion of the reverse takeover in August 2016.
The group said that following the resignation of Uren and the recent appointments of Giles and Marcus Yeoman, the board continued to have two directors, which is still below the minimum fixed by the constitution, being a total of three.
It said: 'As a result, the actions able to be undertaken by the board remain significantly restricted pursuant to the company's constitution, which states that the directors must not act except in emergencies, for appointing one or more directors in order to make up a quorum for a meeting of directors, or to call and arrange to hold a meeting of members.'
The company said it was seeking the appointment of additional directors, and would provide further updates when this occurs.
